What you will study

Since the 1897 case of Salomon v Salomon & Co which cemented into English law the twin concepts of corporate entity and limited liability, there has been considerable study of the “corporate veil” and how to pierce it.
Corporate law (also "company" or "corporations" law) is the study of how shareholders, directors, employees, creditors, and other stakeholders such as consumers, the community and the environment interact with one another.
This course will look at the incorporation of companies and their constitutions, the role of the director and their duties, what rights shareholders have, shares and corporate finance, insolvency and corporate rescue, and will also examine the impact of European law on corporate law in the UK, and corporate governance.
